OFFICIAL GALA MUSIC NFT CONTRACT GIVEAWAY RULES 

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO REDEEM THE GALA MUSIC NFT CONTRACT GIVEAWAY. 

COMPANY. This contest is hosted by Blockchain Game Partners, Inc. ("Company" or "Gala Music"). References to Company in this Agreement shall refer solely to the company hosting the contest.

ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED. PARTICIPATION IN THE GIVEAWAY CONSTITUTES YOUR AGREEMENT TO AND ACCEPTANCE OF THE OFFICIAL RULES (“RULES”) BELOW.

1. Eligibility 

This GALA MUSIC NFT CONTRACT Giveaway, in which one (1) eligible Participant (defined below) shall win a GALA MUSIC NFT CONTRACT (the “Giveaway”), is open to those who create, or currently have, a Gala Music account on the official Gala Music site and meet the additional entry requirements below. Each person who participates in the Giveaway shall be referred to herein as “Participant.” Employees of Company and their respective parents, subsidiaries, affiliates and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Giveaway is subject to all federal, state, and local laws and regulations.

2. Agreement to Rules. 

Participation in the Giveaway constitutes your agreement to and acceptance of these Rules, which are final and binding. Redeeming the GALA MUSIC NFT CONTRACT Giveaway is contingent upon being and staying compliant with these Rules.

3. Giveaway Period 

The Giveaway begins on February 5, 2023 and ends on February 5, 2023 (the “Giveaway Period”). The GALA MUSIC NFT CONTRACT Giveaway is not redeemable before or after the Giveaway Period.

4. How to Enter 

All Participants may enter the Giveaway by completing all the steps below: 

1. All Participants must currently have a Gala Music account or sign up for a Gala Music account to be eligible.

2. Participant must provide the email address associated with the Participant's Gala Music account.

3. Participants must be present at the Wayfarer Downtown LA, located at 183 S Flower St., Los Angeles, CA 90017, for the 11:30am call time on February 5, 2023 in order to perform in the Gala Music Presents: Open Mic Competition ("Open Mic Competition").

4. Prior to performing, Participant must complete an Artist Performance Agreement and Consent and Release form.

5. Participant will be provided a ticket number, which will be announced to indicate Participant's performance time.

6. Participant must perform a song, lasting no more than 3 minutes.

7. Participants who meet the above criteria will be eligible to be featured in one (1) TOTD episode.

8. Company will meet the following week to select the top five (5) Participants ("Top Five") who will be featured in the TOTD episode.

9. On the same day of the TOTD episode, community members will vote to select one (1) winner from the Top Five ("Winner").

10. The Winner will win a GALA MUSIC NFT CONTRACT.

11. By participating in the Giveaway, Participants must agree to abide by these rules and the decisions of the Giveaway organizers.

If creating a Gala Music account, you must fill in all the information requested. Each Participant is limited to one (1) account. You must not create multiple accounts and/or use multiple email addresses, identities or devices in an attempt to circumvent the Rules. If you use fraudulent methods or otherwise attempt to circumvent the rules, your Gala Music account may be removed from eligibility at the sole discretion of the Company.

The entry must fulfill all Giveaway requirements above, as specified, to be eligible to redeem the GALA MUSIC NFT CONTRACT Giveaway. If the above requirements are incomplete or submitted without following the rules or specifications, you may be disqualified at the sole discretion of the Company.

5. The GALA MUSIC NFT CONTRACT Giveaway and Redemption 

The Participants will be notified of the selected Winner. The Winner will receive an additional, separate notification that will explain the next steps to claim their GALA MUSIC NFT CONTRACT. The Winner shall be subject to a subsequent NFT agreement. Company shall send the NFT agreement for review to the Winner. For the avoidance of doubt, time is of the essence. Therefore, if Company does not receive a fully executed copy of the subsequent agreement within ten (10) business days after receiving the agreement, unless otherwise agreed on by Company and Winner, then Winner forfeits the Giveaway and Company may select a new Winner. The new Winner will be subject to the same guidelines set forth herein.

This section is only applicable to eligible entrants that qualify for the GALA MUSIC NFT CONTRACT Giveaway and have not been disqualified for attempting to circumvent the Rules as determined by the Company.

ANY VIOLATION OF THESE OFFICIAL GIVEAWAY RULES BY ANY PARTICIPANT (AT COMPANY’S SOLE DISCRETION) WILL RESULT IN THE PARTICIPANT’S DISQUALIFICATION AND WILL NO LONGER BE CONSIDERED AN ELIGIBLE PARTICIPANT.

6. General Conditions 

In the event that the operation, security, or administration of the Giveaway is impaired in any way for any reason, including, but not limited to fraud, technical problems, security malfunctions or in the event the Giveaway is unable to run as planned for any other reason, as determined by Company in its sole discretion, Company may, in its sole discretion, either: (1) suspend the Giveaway to address the impairment and then resume in a manner that best conforms to the spirit of these Rules; (2) suspend a Participant for failing to comply with Company's code of conduct policies; and (3) terminate the Giveaway and, in the event of termination, no participant shall be eligible for the GALA MUSIC NFT CONTRACT Giveaway of any type or any other rewards or benefits.

Company reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Giveaway or to be acting in violation of these Rules or in a disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Giveaway including, but not limited to; multiple sign ups from the same user from different IP addresses; multiple sign ups from the same computing device in excess of that allowed by the Rules; or the use of bots, employed humans to create false sign ups, macros or scripts or other technical means for signing up may be a violation of criminal and civil law, and, should such an attempt be made, Company reserves the right to seek damages (including attorney’s fees) and any other remedies from any such person to the fullest extent permitted by law.

7. Release and Limitations of Liability 

By participating in the Giveaway, you agree to release and hold harmless Company, and each of its respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Giveaway, and each of their respective officers, directors, employees, shareholders, representatives, and agents (together, “Released Parties”) from and against any claim or cause of action arising out of participation in the Giveaway or receipt of the GALA MUSIC NFT CONTRACT Giveaway, including, but not limited to: (a) any technical errors associated with the Giveaway, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, or wireless service provider; (b) unauthorized human intervention in the Giveaway; (c) mechanical human, printing or typographical errors; or (d) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Giveaway or acceptance, receipt or misuse of the Giveaway you may receive.

You further agree that in any cause of action, the Released Parties' liability will be limited to the cost of signing up and participating in the Giveaway, and in no event shall you be entitled to receive attorney’s fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Giveaway.

9. Privacy & Information Submitted 

Any information you provide to Company may be used to communicate with you in relation to this Giveaway. By entering the Giveaway, you agree to receive emails and/or newsletters periodically from the Company. You can optout of receiving these emails at any time by clicking the unsubscribe link in the emails and/or any other communications. Information submitted in connection with the Giveaway will be treated in accordance with the Company’s Privacy Policy and Terms and Conditions.

10. Arbitration 

These Rules shall be governed by, and construed in accordance with, the laws of New York, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the Company location.

Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of, or connected with the Giveaway awarded shall be resolved by binding arbitration, without resort to any form of class action, and exclusively by the appropriate court located in the giveaway home location. The parties agree to follow the arbitration procedures set forth by the American Arbitration Association (AAA) to resolve the dispute. Arbitration proceedings shall take place in New York, New York. Each party is responsible for paying its own filing, administrative and arbitrator fees and travel and accommodations. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.
